Terms of Service

By accessing brainiac.studio or engaging brainiac/studio ("we", "us", "our") for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

These terms apply to all visitors, clients, and anyone who accesses or uses our website or engages us for professional services.

brainiac/studio provides digital services including software development, AI product development, growth marketing, infrastructure, security consulting, and related professional services.

The specific scope, deliverables, timelines, and fees for any engagement are defined in a written Statement of Work (SOW) or project agreement signed by both parties. In the event of a conflict between these Terms and a signed SOW, the SOW takes precedence.

Payment terms are specified in each project agreement. Unless otherwise agreed, project work is billed on a milestone basis with an upfront deposit before work commences.

Invoices are payable within 14 days of issue. Late payments accrue interest at 1.5% per month. We reserve the right to pause or suspend work on overdue accounts until payment is received.

All fees are quoted exclusive of applicable taxes. Clients are responsible for any withholding taxes required by their local jurisdiction; where applicable, the gross amount invoiced must be received in full.

Both parties agree to keep confidential any non-public information shared during the course of an engagement. We will sign a mutual NDA at the outset of any substantive conversation if requested — or you may sign ours.

This obligation survives termination of the engagement for a period of three years.

To the maximum extent permitted by applicable law, brainiac/studio's total liability for any claim arising out of or related to these terms or our services shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Either party may terminate a project engagement with 14 days' written notice. Upon termination, you will be invoiced for all work completed to date at the agreed rates. Deposits for work not yet started may be refundable at our discretion.

We reserve the right to terminate immediately if a client engages in abusive conduct, requests work that violates our ethical guidelines (see below), or fails to pay after 30 days' notice.

You may not use our website or services for any unlawful purpose or in any way that violates these terms. We do not accept engagements involving gambling, adult content, predatory lending, weapons, political disinformation, or any activity that would cause harm to others.

We reserve the right to decline or terminate any engagement at our discretion if we determine it conflicts with our values.

These terms are governed by the laws of Pakistan. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Karachi, Pakistan.

For clients in the EU or UK, nothing in these terms affects your statutory rights under applicable consumer or business protection legislation.

We may update these Terms of Service at any time. We will revise the "Last updated" date when we do. Material changes will be communicated to active clients by email. Continued use of our website after changes are posted constitutes acceptance of the updated terms.
